Terms of Use

GeoRest Ltd. ("GeoRest", "we", "our", "Company") welcome you (the "User(s)", or "you") to our application known as "DelivApp" (the "App" as further detailed below). Users must use our App and Service in accordance with the terms and conditions hereunder.

1. Acceptance of the Terms

By entering, connecting to, accessing or using the App, and/or by installing the App on your device, you acknowledge that you have read and understood the following terms of use, including the terms of our Privacy Policy (available at Privacy Policy) collectively, the "Terms", and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Service and you acknowledge that these Terms constitute a binding and enforceable legal contract between the Company and you.

IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER TO, CONNECT TO, ACCESS OR USE THE APP IN ANY MANNER, DO NOT INSTALL THE APP OR PROMPTLY ERASE THE APP FROM YOUR DEVICE.

2. The App

The App provides a solution for managing deliveries in efficient way. Subject to your acceptance to the Terms, GeoRest allows you to use the App. The App is available to you as your Employer or other entity to which you provide services ("GeoRest Customer") uses GeoRest's services. The App is available to you for the term of your employment/engagement with GeoRest Customer and within the scope of services which GeoRest provides to GeoRest Customer.

The App may include the sending of push-notifications and messages. In addition, the Service may include third party advertisements and/or commercial content. You can deactivate the push-notifications at any time by changing the notification settings on your device (iOS) or by changing your settings within our Services (Android). (Collectively: the "Service")

Please note that the App may only be available for certain operating systems. The User may only download and use the App on a device running a validly licensed copy of the operating system on which the App was designed to operate. To be able to access or use the App, or any portion thereof, User must legally obtain all the applicable or required facilities, utilities, software and equipment at his/her sole risk and expense.

ALL RIGHTS IN AND TO THE CONTENT AVAILABLE ON THE APP ARE RESERVED TO GEOREST. TO THE EXTENT LEGALLY PERMISSIBLE, THE APP AND THE CONTENT AVAILABLE THEREIN ARE PROVIDED ON AN "AS IS" BASIS. GEOREST WILL NOT BE LIABLE FOR ANY DAMAGE OR LOSS, COST OR EXPENSE INCURRED TO YOU OR ANY OTHER PERSON AS A RESULT OF OR IN CONNECTION WITH YOUR USE OF THE APP AND/OR THE CONTENT AVAILABLE THEREIN.

3. User Restrictions

There are certain conducts which are strictly prohibited when using the App. Please read the following restrictions carefully. Failure to comply with any of the provisions set forth herein may result (at Company's sole discretion) in the termination of your use of the App and may also expose you to civil and/or criminal liability.

You may not, whether by yourself or anyone on your behalf: (a) use the App and/or the Content for any illegal, immoral, unlawful and/or unauthorized purposes; (b) use the Content for non-personal or commercial purposes without GeoRest's express prior written consent; (c) remove or disassociate, from the Content and/or the App any restrictions and signs indicating proprietary rights of GeoRest or its licensors; (d) interfere with or violate Users' rights to privacy and other rights, or harvest or collect personally identifiable information about Users without their express consent; (e) interfere with or disrupt the operation of the App or the servers or networks that host the App; (f) impersonate any person or entity; (g) take any action that imposes an unreasonable load on our platform infrastructure; (h) bypass any measures we may use to prevent or restrict access to the App; (i) copy, modify, alter, adapt, replicate, reverse engineer, decompile, or disassemble any portion of the Content; (j) copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sublicense, or make any commercial use of any material subject to GeoRest's proprietary rights; and/or (k) infringe and/or violate any of the Terms.

4. Registration and User Account

In order to use the App, GeoRest Customer will send you a text message, which will include a link for downloading the App. After downloading the App to your mobile device you will be required to provide your phone number in order to receive a registration code (which will be sent to you via SMS).

Your account is password protected. You must safeguard and not disclose your account log-in details and you must supervise the use of such account. You must provide accurate and complete information when creating an account and you agree to not misrepresent your identity or your account information.

You are solely and fully responsible for maintaining the confidentiality of the password and Account and for all activities that occur under your Account.

5. Access to Location Information

In order to provide the Services offered via the App, you should provide the Company access to your location. The Company will receive access to your location information as long as the App is operated on your mobile device (even if not in an active use).

6. Privacy Policy

We respect your privacy and are committed to protect the information you share with us. Our policy and practices and the type of information collected are described in detail in our Privacy Policy which is incorporated herein by reference. If you intend to connect to, access or use the App you must first read and agree to the Privacy Policy.

7. License

Subject to the terms hereof, GeoRest hereby grants to you, and you accept, a personal, nonexclusive, non-commercial, non-transferable, non-sublicensable and fully revocable limited license (i) to download and use the App on your authorized mobile phone, device or tablet that you own or control, solely for the limited purpose of using the App for your internal non-commercial use; and (ii) to use the Service and the Content provided in the App in accordance with the terms contained in this Agreement.

The Terms do not convey to you an interest in or to the GeoRest Intellectual Property but only a limited revocable right of use in accordance with the Terms. Nothing in the Terms constitutes a waiver of the Company's Intellectual Property under any law.

8. Intellectual Property Rights

The App, the Content and the Company's proprietary assets and any and all intellectual property rights pertaining thereto, including, but not limited to, inventions, patents and patent applications, trademarks, trade names, service marks, copyrightable materials, and trade secrets, whether or not registered or capable of being registered (collectively, "Intellectual Property"), are owned by and/or licensed to the Company and are protected by applicable copyright and other intellectual property laws.

9. Trademarks and Trade Names

"DelivApp", "GeoRest", GeoRest's marks and logos and all other proprietary identifiers used by the Company in connection with the Service ("Company Trademarks") are all trademarks and/or trade names of the Company. No right, license, or interest to the Company Trademarks is granted hereunder.

10. Links to Third Party Sites

Certain links provided herein permit you to leave the App and enter non-GeoRest sites or services. Those linked sites and services are not under our control. We are not responsible for the availability of such external sites or services, and we are not responsible or liable for any content or other information available via such linked sites and services.

11. Commercial Advertising

The Company and/or any authorized third parties are allowed to advertise and promote within the App commercial information. The liability for any content and commercial materials which was published not on behalf of the Company remains with the entities that publish such content.

12. Usage Rules

Since you are downloading the App from a third party platform, service provider or distributor ("Platform Provider") your use of the App may also be governed by usage rules which the Platform Provider may have established. You undertake to comply with all the applicable Platform Provider's Usage Rules.

13. Third Party Components

The App may use or include third party software, files and components that are subject to open source and third party license terms ("Third Party Components"). Your right to use such Third Party Components as part of the App is subject to any applicable acknowledgements and license terms accompanying such Third Party Components.

14. Availability

The Services' availability and functionality depends on various factors, such as communication networks, software, hardware, service providers and contractors. GeoRest does not warrant or guarantee that the App will operate and/or be available at all times without disruption or interruption, or that it will be immune from unauthorized access or error-free.

15. Changes to The App

GeoRest reserves the right to modify, correct, amend, enhance, improve, make any other changes to, or discontinue, temporarily or permanently this App without notice, at any time.

16. Disclaimers

TO THE FULLEST EXTENT LEGALLY PERMISSIBLE, THE APP AND THE CONTENT ARE PROVIDED ON AN "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE" BASIS, AND GEOREST, INCLUDING ITS REPRESENTATIVES, DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTIES OF USE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, IN NO EVENT SHALL GEOREST, INCLUDING GEOREST'S REPRESENTATIVES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING HEREUNDER, RESULTING FROM OR ARISING OUT OF THE APP AND/OR THE CONTENT.

18. Amendments to the Terms

The Company may, at its sole discretion, change the Terms from time to time. In case of any material change, we will make reasonable efforts to post a clear notice on the App. Such material changes will take effect seven (7) days after such notice was provided.

19. Termination

These Terms shall remain in effect until terminated as set forth herein. The Terms shall be considered as terminated, automatically, if our engagement with GeoRest Customer with whom you are engaged is terminated. In this case, you will no longer be able to access or use the App.

20. Export and Location

The App is subject to applicable export control laws. You agree that you will not ship, transfer, or export the App into any country, or make available or use the App in any manner, prohibited by applicable laws.

21. General

These Terms constitute the entire terms and conditions between you and the Company relating to the subject matter herein. Any claim relating to the App or the use thereof will be governed by and interpreted in accordance with the laws of the State of Israel. Any dispute arising out of or related to the App will be brought in the competent courts of the district of Tel-Aviv, Israel.
